SAN RAFAEL, Calif. & BIRMINGHAM, England – (BUSINESS WIRE) – Autodesk, Inc. (NASDAQ: ADSK) has successfully completed its acquisition of Delcam, a leading global provider of advanced computer-aided manufacturing (CAM) software. The deal, announced on November 7, 2013, was valued at £20.75 per share, totaling approximately £172.5 million (~USD $286 million), and was funded using non-U.S.-based cash.
Delcam will continue to operate as a wholly owned subsidiary of Autodesk, maintaining its independent structure and business operations. This move is expected to strengthen Autodesk’s position in the manufacturing and fabrication space, expanding beyond its traditional design roots.

Based in Birmingham, UK, Delcam provides software solutions for design, manufacturing, and inspection across multiple sectors, including aerospace, automotive, consumer goods, and sports equipment. The company operates over 30 offices globally and employs around 700 people.

**Business Outlook**
This transaction is not expected to impact Autodesk’s guidance issued on November 26, 2013. However, it is anticipated to be dilutive to non-GAAP earnings in fiscal 2015 but accretive in fiscal 2016. More details will be provided during Autodesk’s fourth-quarter conference call on February 26, 2014.
