SAN FRANCISCO, April 25, 2024 /PRNewswire/ — Autodesk, Inc. (NASDAQ: ADSK) has received a deficiency notice from the Nasdaq Listing Qualifications Staff on April 19, 2024, regarding its failure to timely file its Annual Report on Form 10-K for the year ended January 31, 2024. The notice highlights that the company is not in compliance with Nasdaq Listing Rule 5250(c)(1), which requires timely submission of all required SEC filings.
This delay was previously disclosed in the company’s Form 12b-25, filed with the SEC on April 1, 2024, and in a press release issued on April 16, 2024. The filing of the Form 10-K was postponed due to ongoing internal investigations outlined in those documents. As of today, the investigation remains active, and the company continues to work diligently to finalize it and submit the report as soon as possible.
Importantly, the notice does not immediately affect the trading of Autodesk’s common stock on the Nasdaq Global Select Market. However, the company now has 60 calendar days to submit a plan to regain compliance. If approved, Nasdaq may grant an extension of up to 180 days from the original deadline, which would push the filing date to October 14, 2024.
The internal investigation, which is still ongoing, involves matters previously disclosed and does not currently impact the financial statements or earnings releases issued by the company. The company is committed to addressing this issue promptly and ensuring full compliance with all regulatory requirements.
Forward-looking statements in this release involve risks and uncertainties, including the timeline for completing the internal investigation, the timing of the audit committee's conclusions, and the potential delays in filing the Form 10-K. Actual results could differ materially due to various factors, such as new information uncovered during the investigation or changes in regulatory expectations.
For more details on these risks, readers are encouraged to review Autodesk’s previous SEC filings, including its 2023 Form 10-K and subsequent quarterly reports.
